Job Title: Senior Paralegal

FLSA Status: Non-Exempt

Department: Legal and Risk Management

Reports to: General Counsel and Secretary


The Sr. Paralegal is a professional position in a high-performance, customer-focused team environment. Critical responsibilities include managing entities and entity governance activities, drafting and reviewing contracts, researching law, investigating facts, case management of several large and small legal matters, communicating with management and members of other departments and preparing legal documents.


Corporate Governance and Legal Support

  • Maintain corporate records, resolutions and minutes, coordinate signatures, manage registration and maintenance of each entity in good standing, ensure annual reports are filed, and coordinate paperwork for international entities to ensure annual and on-going compliance with corporate registration requirements
  • Initiates, drafts, and interprets contracts, including leases, purchases and sales, and various other agreements and amendments. Work directly with outside vendors, with limited attorney involvement
  • Prepares discovery requests and responses; issues and manages legal holds; ensures appropriate document and electronic production and preservation; litigation support; attends hearings, etc. as required
  • Administer the corporate governance compliance and calendaring processes and activities for the Company and its subsidiaries, both domestic and foreign, and ensure that required actions are completed in a timely manner and appropriate filings are made; maintain the worldwide entities database to ensure that information is accurate, up-to-date, and complete
  • Draft and maintain intercompany agreements. Research relating to subsidiary matters
  • Responsible for getting resolutions, commercial register applications, powers of attorney and other documents signed by local and global managing directors, including responsible for notarizations, and legalizations working with outside vendor
    Functional & Technical Skills
    • Manage all changes relating to the database including director, capitalization, involving subsidiaries and other similar matters (including working with third party vendor, agents and attorneys globally to understand the requirements and implement them). Communicate with and provide guidance to in-house clients regarding subsidiary matters
    • Manage and maintain Company's Intellectual Property portfolio and coordinate meetings with representatives from Engineering and Marketing departments and other stakeholders regarding current and future IP plans. Coordinate with internal stakeholders and outside IP counsel for timely payments of maintenance and annuity fees
    • Coordinates the intake of legal research and other legal helpdesk requests. Conducts necessary research, analyzes and reports on search results
    • Research regarding corporate legal entity filings and minutes, researching corporate legal identities, research state and federal regulatory guidelines
    • With minimal supervision, administer the collection, categorization, organization, review and analysis of due diligence documents and information
    • Support of other Legal requests and issues in other practice areas as they arise, including but not limited to employment law and real estate

        Education: Bachelor's Degree in legal studies, business, or related field

        Experience: 7+ Years paralegal experience that includes corporate governance, subsidiary management, corporate filings, entity registrations, management of books and records, M&A, IP portfolio management, litigation file management, commercial contract management, with the demonstrated ability to review documents and identify issues that create legal and commercial risk for an organization. The ability to balance multiple projects, prioritize projects, and meet multiple deadlines.

        **11+ years combination of education and experience in corporate governance, subsidiary management, corporate filings, M&A activities, commercial contract management, and IP portfolio management.


        Licenses/Certifications: Minnesota Paralegal Association Member (preferred)
